# Terms of Service — Tally

## 1. These terms

These terms govern your use of Tally, provided by [LEGAL ENTITY NAME] ("Tally",
"we", "us"). Creating an account or using the Tally bot means you agree to them.
Agreeing on behalf of a company confirms you have authority to bind it.

## 2. What Tally does

Tally captures voice notes, text messages and photographs sent to its Telegram
bot, extracts structured information using automated processing, stores the
result in your dashboard and, where connected, syncs it to your CRM.

## 3. Plans and payment

Tally is offered on a Free plan, a paid Pro plan and a Business plan priced per
seat. **Pricing shown on the website is indicative until checkout is live**; the
price that applies is the one shown when you subscribe or set out in your order
form. Paid plans renew automatically for the same term unless cancelled before
the renewal date. Fees exclude VAT and other applicable taxes.

Prices may change for a renewal term with at least 30 days' written notice.

## 4. Your responsibilities

You are responsible for the content you send to Tally and for having a lawful
basis to record and store information about the people you meet:

- Record yourself describing a conversation. Do not use Tally to record another
  person or a room without the consent required in that jurisdiction.
- Do not upload content you have no right to process.
- Do not store special category data (health, biometric, political opinions and
  the like) unless you have a lawful basis and have told us.
- Keep your Telegram account and dashboard credentials secure. Activity through
  your account is your responsibility.

## 5. Acceptable use

Do not use Tally to break the law, send unlawful or abusive content, attempt to
access other customers' data, reverse engineer the service, resell it without our
agreement, or place load on it designed to degrade it for others.

We may suspend an account causing harm to the service or to others, and will say
why as soon as we reasonably can.

## 6. Your data

You keep all rights in the content you send and in the records produced from it.
You grant us a licence to host, process and transmit that content solely to
provide the service.

Where Tally processes personal data on your behalf we act as your processor, and
our [privacy policy](https://tallyflows.com/legal/privacy.md) and data processing
agreement apply. You can export your data as CSV at any time while the account is
active.

## 7. Availability

We aim to keep Tally available continuously but do not guarantee uninterrupted
service on the Free or Pro plans. Business customers may have a service level
commitment in their order form, which takes precedence over this clause.

## 8. Automated extraction is not guaranteed to be correct

Tally uses automated speech recognition and information extraction. These are
probabilistic and can be wrong. Every record remains editable, and you should
review anything you rely on commercially. We are not liable for decisions made on
unreviewed automated output.

## 9. Third-party services

Tally depends on Telegram and, where connected, your CRM. Those services are
governed by their own terms and are outside our control.

## 10. Termination

You may cancel at any time; cancellation takes effect at the end of the current
billing period and fees already paid are not refundable except where the law
requires. We may terminate for material breach not remedied within 14 days of
notice.

On termination your data stays available for export for 30 days, then is deleted
in line with the retention periods in the privacy policy.

## 11. Liability

Nothing here excludes liability for death or personal injury caused by
negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, neither party is liable for indirect or consequential loss, or
loss of profit, revenue, goodwill or anticipated savings. Our total liability in
any 12-month period is limited to the fees you paid us in that period, or
[AMOUNT] on the Free plan.

## 12. Changes

We may update these terms. Material changes affecting paid plans get at least 30
days' notice by email. Continuing to use Tally after a change takes effect means
you accept it.

## 13. Governing law

Governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have
exclusive jurisdiction over any dispute.
